Seller Agreement

This Seller Agreement (“Seller Agreement”) applies to any person or business that creates, publishes, or sells an offer through FloraFish (“FloraFish”, “we”, “us”, or “our”).
By creating or publishing an offer on FloraFish, you agree to this Seller Agreement, our Terms & Conditions, Terms of Use, Privacy Policy, and any other applicable FloraFish policies.
If you do not agree to these terms, you may not sell through FloraFish.
1. Seller Relationship With FloraFish
FloraFish provides technology and infrastructure that allows sellers to create, publish, share, and manage offers and facilitate transactions with buyers.
FloraFish is not the seller, manufacturer, service provider, owner, or provider of the products, services, or experiences offered by sellers unless expressly stated otherwise.
As a seller, you enter into a direct commercial relationship with the buyer for the product, service, or experience you offer.
You are solely responsible for fulfilling the obligations associated with your offers.
2. Seller Eligibility
To sell through FloraFish, you must:
Be legally capable of entering into binding agreements.
Have the legal right and authority to sell the products, services, or experiences you offer.
Provide accurate account and business information.
Comply with applicable laws, regulations, licenses, permits, and tax obligations.
Comply with the requirements of any payment provider used through FloraFish.
If you operate on behalf of a business or other legal entity, you represent that you are authorized to act on its behalf.
FloraFish may require additional information or verification before allowing you to sell or receive payouts.
3. Your Offers
You are responsible for every offer you create or publish through FloraFish.
Each offer must accurately describe what the buyer will receive.
You must ensure that your offer information is:
Accurate.
Complete.
Current.
Not misleading.
Consistent with what you actually intend to provide.
This includes, where applicable:
Offer title.
Description.
Images and media.
Price.
Availability.
Quantity or capacity.
Delivery information.
Service details.
Experience details.
Location.
Duration.
Included items.
Buyer requirements.
Cancellation conditions.
Any material limitations or restrictions.
You may not intentionally omit material information that could reasonably affect a buyer's decision.
4. Products
If you sell a physical or digital product, you are responsible for ensuring that:
You have the legal right to sell the product.
The product is accurately described.
The product matches the description provided in the offer.
The product is available when purchased.
The product complies with applicable laws and regulations.
You fulfill the order according to the terms of your offer.
You are responsible for the quality, condition, authenticity, legality, and characteristics of products you sell.
5. Services
If you sell a service, you are responsible for providing the service substantially as described in your offer.
You must clearly communicate any material requirements, limitations, qualifications, or conditions necessary for the buyer to receive the service.
If the service requires professional licensing, certification, insurance, permits, or other authorization, you are responsible for obtaining and maintaining those requirements.
FloraFish does not verify that a seller possesses professional qualifications unless expressly stated otherwise.
6. Experiences and Bookings
If you offer an experience, event, appointment, class, activity, or other bookable service, you are responsible for:
Providing accurate dates and times.
Providing accurate location information.
Maintaining stated capacity.
Communicating material requirements.
Providing the experience as described.
Informing buyers of relevant safety requirements.
Obtaining any required permits, licenses, or insurance.
You are responsible for ensuring that your experience complies with applicable health, safety, and regulatory requirements.
7. Fulfillment
You must fulfill every valid order according to the terms of the applicable offer.
Depending on the offer, fulfillment may include:
Digital delivery.
Physical shipping.
Providing a service.
Providing access to an experience.
Scheduling an appointment.
Providing other deliverables described in the offer.
You must not mark an order as fulfilled unless you have actually fulfilled the applicable obligation.
If you cannot fulfill an order, you should promptly inform the buyer and take appropriate steps to resolve the situation, including providing a refund where required by applicable law or FloraFish policy.
8. Delivery
You are responsible for meeting any delivery or fulfillment estimate communicated to the buyer.
If an offer specifies a delivery timeframe, you should make reasonable efforts to meet that timeframe.
For physical products, you are responsible for packaging, shipping, tracking, customs requirements, and other delivery obligations unless the offer expressly states otherwise.
FloraFish does not guarantee delivery times or shipping outcomes controlled by sellers or third-party carriers.
9. Pricing
You are responsible for setting accurate prices for your offers.
You may not intentionally manipulate prices or display misleading pricing information.
Unless otherwise stated, the price presented to the buyer should accurately represent the amount the buyer is expected to pay for the applicable offer, subject to any applicable taxes, fees, or charges disclosed during checkout.
You are responsible for complying with applicable pricing and consumer-protection laws.
10. Taxes
You are solely responsible for determining and complying with your tax obligations arising from your sales through FloraFish.
This may include:
Income taxes.
Sales or value-added taxes.
Withholding obligations.
Local taxes.
Import or export taxes.
Other applicable governmental charges.
FloraFish does not provide tax advice and does not guarantee that your sales through the platform satisfy your tax obligations.
You should consult an appropriate tax professional regarding your circumstances.
11. Payments
FloraFish may use third-party payment providers to process payments and facilitate payouts.
You agree to comply with the applicable requirements of those providers.
You may not:
Use stolen or unauthorized payment information.
Process fraudulent transactions.
Create fictitious transactions.
Manipulate transaction amounts.
Abuse refunds or chargebacks.
Circumvent payment processing controls.
Use FloraFish to launder money or facilitate financial crime.
FloraFish may delay, restrict, reverse, or withhold a payout where reasonably necessary to address fraud, disputes, payment-provider requirements, legal obligations, or violations of these terms.
12. FloraFish Fees
FloraFish may charge sellers fees, commissions, subscriptions, or other charges associated with the use of the platform.
Applicable fees will be communicated through FloraFish or the applicable commercial agreement.
You authorize FloraFish and its payment providers to deduct applicable fees from amounts processed through the platform where supported.
FloraFish may change its fees in accordance with its Terms & Conditions.
13. Refunds and Cancellations
You are responsible for complying with the applicable FloraFish Refund & Cancellation Policy and any refund or cancellation terms presented to the buyer.
You may be required to provide a refund where:
You cannot fulfill an order.
The offer materially differs from what was promised.
A refund is required by applicable law.
A refund is required under an applicable FloraFish policy.
Another circumstance reasonably requires resolution of the transaction.
You may not refuse a legitimate refund solely to avoid financial loss when the applicable policy or law requires the refund.
14. Chargebacks and Payment Disputes
Buyers may dispute transactions through their payment provider.
If a transaction is disputed, you agree to cooperate reasonably with FloraFish and the applicable payment provider.
You may be required to provide information demonstrating that an order was legitimately completed.
FloraFish may recover amounts associated with chargebacks, reversals, refunds, fraud, or other transaction adjustments from amounts otherwise payable to you, to the extent permitted by applicable law.
15. Prohibited Offers
You may not create or sell offers that violate FloraFish's Prohibited Products & Services Policy or applicable law.
This includes offers involving illegal goods or services, fraudulent activity, stolen or counterfeit goods, unauthorized financial schemes, malware, or other prohibited categories.
FloraFish may remove, restrict, or reject an offer at any time where we reasonably believe it violates applicable requirements or creates unacceptable legal, safety, fraud, or platform risk.
16. Intellectual Property
You represent that you own or have sufficient rights to use all content associated with your offers.
This includes:
Product images.
Logos.
Brand names.
Text.
Videos.
Designs.
Music.
Illustrations.
Documents.
Other materials.
You must not use another person's intellectual property without appropriate authorization.
You remain responsible for any intellectual property claims arising from content you provide.
17. User Content License
By uploading content to FloraFish, you grant FloraFish a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, transmit, and technically process that content as reasonably necessary to operate, maintain, promote, and provide the FloraFish platform.
This license continues for as long as necessary for FloraFish to provide services associated with the content and for reasonable backup, security, legal, and operational purposes.
You retain ownership of your content.
18. Seller Communications
You may communicate with buyers regarding legitimate transactions, fulfillment, scheduling, and customer support.
You must not use information obtained through FloraFish to send unlawful spam, phishing messages, deceptive communications, or unrelated unsolicited marketing where prohibited by law.
You are responsible for complying with applicable communications, privacy, and marketing laws.
19. Buyer Information
You may receive limited information about buyers when necessary to fulfill an order.
You must use buyer information only for legitimate purposes related to the transaction and in accordance with applicable privacy laws.
You may not:
Sell buyer information.
Use buyer information for unrelated purposes.
Share buyer information without authorization.
Attempt to obtain unnecessary personal information.
Retain personal information longer than reasonably necessary for legitimate purposes.
You are responsible for maintaining reasonable safeguards for information you receive through FloraFish.
20. Off-Platform Transactions
You may not use FloraFish to intentionally circumvent applicable FloraFish fees, restrictions, or transaction controls.
You may not manipulate buyers into moving transactions off FloraFish for the purpose of avoiding legitimate platform fees or protections.
Nothing in this section prevents legitimate communications or relationships that are unrelated to circumventing FloraFish's commercial terms.
21. Seller Conduct
You agree to interact with buyers professionally and honestly.
You must not:
Harass or threaten buyers.
Engage in discriminatory or abusive conduct.
Manipulate reviews or ratings.
Create fake transactions.
Create fake reviews.
Misrepresent your identity.
Impersonate another business or person.
Make false claims about your products or services.
Intentionally interfere with another seller's business.
Engage in fraudulent activity.
22. Seller Records
You are responsible for maintaining appropriate records related to your FloraFish transactions.
This may include:
Orders.
Fulfillment records.
Delivery records.
Customer communications.
Refunds.
Invoices.
Tax records.
You should retain records for the period required by applicable law.
23. Compliance With Law
You are solely responsible for determining whether your business, products, services, and experiences comply with applicable laws and regulations.
Depending on your activities, this may include requirements relating to:
Consumer protection.
Taxes.
Product safety.
Advertising.
Intellectual property.
Privacy.
Data protection.
Professional licensing.
Health and safety.
Import and export.
Local business permits.
FloraFish does not guarantee that selling through the platform makes your business compliant with applicable law.
24. Verification
FloraFish or its service providers may request additional information to verify your identity, business, payment information, or eligibility to sell.
You agree to provide accurate information when requested.
Failure to provide required information may result in restrictions on your ability to create offers, receive payments, or use certain FloraFish features.
25. Account Restrictions
FloraFish may restrict, suspend, or terminate your seller account if we reasonably believe that:
You violated this Seller Agreement.
You violated the Terms of Use or Terms & Conditions.
You engaged in fraud or deceptive activity.
Your activity creates a meaningful risk to buyers or FloraFish.
Your offers violate applicable law.
You fail to fulfill orders.
You repeatedly receive legitimate complaints.
You attempt to circumvent platform restrictions or fees.
You fail required verification.
A payment provider restricts or terminates your ability to process payments.
Where appropriate, FloraFish may provide notice or an opportunity to resolve the issue.
26. Effects of Suspension or Termination
If your seller account is suspended or terminated, you may no longer be able to create or publish offers or receive new orders.
You remain responsible for valid obligations associated with orders placed before suspension or termination, including applicable fulfillment, refund, and customer-support obligations.
Termination does not automatically eliminate amounts you owe to FloraFish, buyers, payment providers, or other parties.
27. Seller Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless FloraFish, its operator, and their respective affiliates, service providers, and representatives from claims, losses, liabilities, damages, costs, and expenses arising from:
Your products, services, or experiences.
Your offers.
Your breach of this Seller Agreement.
Your violation of applicable law.
Your infringement of third-party rights.
Your relationship with buyers.
Your failure to fulfill an order.
Your negligent or wrongful conduct.
28. FloraFish's Role and Liability
FloraFish provides a technology platform and related infrastructure.
Unless expressly stated otherwise, FloraFish does not guarantee:
The quality of seller offers.
The legality of seller activities.
The accuracy of seller information.
The performance of sellers.
The safety of products or experiences.
That a buyer will complete a transaction.
That a seller will receive a particular level of sales.
That the platform will always be available.
Your use of FloraFish as a seller is at your own business risk.
Additional limitations of liability are provided in the FloraFish Terms & Conditions.
29. Independent Business Relationship
You are an independent seller and are not an employee, agent, partner, joint venturer, franchisee, or representative of FloraFish solely because you use the platform.
Nothing in this Seller Agreement creates a partnership, employment relationship, agency relationship, or joint venture between you and FloraFish.
You are responsible for your own business operations and obligations.
30. Changes to This Agreement
FloraFish may update this Seller Agreement from time to time.
If we make material changes, we may provide notice through the platform or other reasonable means.
Your continued use of FloraFish to sell after the updated agreement becomes effective constitutes acceptance of the revised terms, to the extent permitted by applicable law.
31. Governing Law
This Seller Agreement is governed by the laws applicable to FloraFish and its operator, without regard to conflict-of-law principles, except where applicable law requires otherwise.
Any dispute arising from this Seller Agreement will be subject to the jurisdiction specified in the applicable FloraFish Terms & Conditions.
32. Entire Agreement
This Seller Agreement, together with the FloraFish Terms & Conditions, Terms of Use, Privacy Policy, Refund & Cancellation Policy, and other applicable policies, forms the agreement governing your use of FloraFish as a seller.
If there is a conflict between this Seller Agreement and another FloraFish policy, the applicable terms will control to the extent necessary to resolve the conflict.
