FloraFish Terms of Service

Welcome to FloraFish.

These Terms of Service (“Terms”) govern your access to and use of FloraFish, including our website, applications, tools, services, and marketplace infrastructure (collectively, the “Platform”).

By accessing or using FloraFish, you agree to these Terms. If you do not agree with them, you may not use the Platform.

1. What is FloraFish?

FloraFish is a platform that allows people and organizations to create, publish, discover, purchase, and manage offers.

An Offer is something made available for purchase through FloraFish. An Offer may represent a physical product, digital product, service, experience, appointment, event, subscription, or another form of value.

FloraFish provides the infrastructure that connects an Offer with a Buyer and facilitates the resulting Order.

FloraFish is not the seller of the Offers published by users, unless explicitly stated otherwise.

The Seller is responsible for the Offer they publish, including its description, price, availability, fulfillment, and compliance with applicable laws.

2. Users

You may use FloraFish as either a Seller, a Buyer, or both.

These are roles within the Platform and do not necessarily represent your legal status or business structure.

A person may sell an Offer and purchase another Offer.

An organization may sell Offers and purchase Offers.

By using FloraFish, you agree to provide accurate information and to keep your account information reasonably up to date.

You are responsible for all activity conducted through your account.

3. Creating Offers

Sellers may create Offers through FloraFish.

An Offer may include:

title;
description;
images or other media;
price;
currency;
availability;
fulfillment information;
booking or scheduling information;
subscription terms; and
other information required to complete the transaction.

Sellers are responsible for ensuring that their Offers are accurate, lawful, and capable of being fulfilled as described.

You must not create an Offer that is fraudulent, misleading, illegal, infringing, unsafe, or otherwise prohibited by these Terms or our policies.

FloraFish may remove, restrict, suspend, or disable an Offer that violates these Terms or presents a risk to users or the Platform.

4. Buying an Offer

When a Buyer chooses to purchase an Offer, the Buyer may be directed to a payment experience provided by FloraFish or one of our payment infrastructure providers.

Before completing a purchase, Buyers should review the Offer, including its price, description, availability, and applicable fulfillment information.

A purchase becomes an Order when the applicable payment provider confirms the transaction.

The resulting Order records the transaction and the information necessary for the Seller to fulfill the Offer.

5. Payments

FloraFish may use third-party payment providers to process transactions.

Currently, FloraFish may use Contra as its payment infrastructure provider.

Payments are processed according to the payment provider's own terms, policies, availability, and requirements.

FloraFish does not store your complete payment card information unless explicitly stated otherwise.

Payment processing, payment authorization, payment settlement, withdrawals, currency conversion, payment holds, refunds, and other payment-related matters may be subject to the terms and policies of the applicable payment provider.

You may be required to maintain an account with a payment provider in order to receive payments as a Seller.

6. Sellers and Fulfillment

Sellers are solely responsible for fulfilling the Offers they publish.

This includes, where applicable:

delivering physical products;
providing digital products;
providing services;
honoring appointments;
providing experiences;
shipping products;
communicating with Buyers;
providing accurate fulfillment information; and
honoring the terms presented in the Offer.

FloraFish does not guarantee that a Seller will fulfill an Offer.

If a Seller cannot fulfill an Order, the Seller is responsible for communicating with the Buyer and taking appropriate action, including refunds where applicable.

7. Orders

An Order represents a completed or pending transaction associated with an Offer.

Order information may include:

Offer information;
transaction information;
Buyer information;
fulfillment information;
payment status;
order status; and
timestamps associated with the transaction.

FloraFish may retain Order information for purposes including fulfillment, customer support, fraud prevention, accounting, analytics, and legal compliance.

8. Services and Appointments

Some Offers may require a Buyer to select a date or time.

For appointment-based Offers, availability shown through FloraFish is controlled by the Seller.

Where payment is required to secure an appointment, the appointment is confirmed only after the applicable payment has been successfully processed.

Sellers are responsible for honoring confirmed appointments.

FloraFish does not guarantee that an appointment will be fulfilled by the Seller.

9. Subscriptions

Some Offers may be available on a recurring basis.

For subscription Offers, the Buyer may authorize recurring payments according to the frequency and price presented at checkout.

Recurring payments may be processed by the applicable payment provider.

Subscription cancellation, payment failures, billing retries, refunds, and other subscription-related matters may be subject to the payment provider's systems and policies as well as the terms presented by the Seller.

The Seller is responsible for clearly communicating the terms of a subscription Offer.

10. Refunds and Cancellations

Refund and cancellation policies may vary depending on the Offer and Seller.

Unless otherwise required by applicable law, the Seller is responsible for establishing and honoring the refund or cancellation policy applicable to their Offer.

Where a refund is available, it may be processed through the payment provider used for the transaction.

FloraFish may assist with disputes or transaction issues but does not guarantee a particular outcome.

11. Prohibited Offers and Activities

You may not use FloraFish to create, promote, sell, or facilitate transactions involving:

illegal goods or services;
fraudulent or deceptive Offers;
stolen property;
counterfeit goods;
goods or services that infringe intellectual property rights;
regulated goods or services without required authorization;
harmful or dangerous products;
transactions intended to facilitate money laundering or financial crime;
Offers that exploit or endanger minors;
malicious software or harmful digital content; or
any other activity prohibited by applicable law or our policies.

FloraFish may remove Offers or suspend accounts when necessary to protect users, comply with law, or maintain the integrity of the Platform.

12. User Content

You retain ownership of the content you submit to FloraFish, including Offer descriptions, images, videos, logos, and other materials.

By submitting content to FloraFish, you grant us a non-exclusive, worldwide, royalty-free license to host, reproduce, display, distribute, and otherwise use that content as reasonably necessary to operate, improve, promote, and provide the Platform.

You represent that you have the necessary rights to submit the content and grant this license.

13. Intellectual Property

FloraFish and its underlying software, design, branding, technology, and content are owned by FloraFish or its licensors.

These Terms do not grant you ownership of FloraFish's intellectual property.

You may not copy, modify, reverse engineer, distribute, or commercially exploit the Platform except as expressly permitted by these Terms or applicable law.

14. Account Suspension and Termination

We may suspend or terminate your access to FloraFish if:

you violate these Terms;
you engage in fraudulent or abusive activity;
your activity creates a security or financial risk;
you use the Platform for prohibited activities;
we are required to do so by law; or
necessary to protect FloraFish or other users.

You may stop using FloraFish at any time.

Termination does not eliminate obligations that arose before termination, including payment, fulfillment, refund, dispute, or legal obligations.

15. Disputes Between Buyers and Sellers

FloraFish provides infrastructure for transactions between users.

Unless explicitly stated otherwise, FloraFish is not a party to the underlying transaction between the Buyer and Seller.

Disputes concerning the Offer itself, including quality, delivery, fulfillment, cancellation, or representation, are primarily matters between the Buyer and Seller.

FloraFish may provide tools or assistance to resolve transaction issues but does not guarantee that disputes will be resolved in favor of either party.

16. Third-Party Services

FloraFish may integrate with third-party services, including payment processors, storage providers, authentication providers, communication services, and other infrastructure providers.

Your use of those services may be subject to their respective terms and policies.

FloraFish is not responsible for the independent operation, availability, or policies of third-party services.

17. Disclaimer

FloraFish is provided on an “as is” and “as available” basis to the extent permitted by applicable law.

We do not guarantee that:

the Platform will always be available;
every Offer will be accurate;
every Seller will fulfill an Order;
every transaction will be completed successfully;
payment providers will remain available;
the Platform will be uninterrupted or error-free; or
every transaction will be suitable for your particular circumstances.

You use FloraFish at your own risk.

18. Limitation of Liability

To the maximum extent permitted by applicable law, FloraFish will not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform or transactions conducted through it.

Our liability, where legally permitted to be limited, will be limited to the amount you paid to FloraFish for the applicable service during the period specified by applicable law.

Nothing in these Terms limits liability that cannot legally be limited.

19. Changes to These Terms

We may update these Terms from time to time.

When we make material changes, we may provide reasonable notice through the Platform or other appropriate means.

Your continued use of FloraFish after updated Terms become effective constitutes acceptance of the revised Terms.

20. Governing Law

These Terms will be governed by the laws applicable to FloraFish's operating entity, without regard to conflict-of-law principles, unless applicable law requires otherwise.

Any mandatory consumer protection or other applicable legal rights remain unaffected.
