Terms of Use

These Terms of Use (“Terms”) govern your use of FloraFish (“FloraFish”, “we”, “us”, or “our”), a platform that allows users to create, publish, share, and purchase offers for products, services, and experiences.

By accessing or using FloraFish, you agree to comply with these Terms. If you do not agree with them, you may not use the platform.

These Terms apply together with our Terms & Conditions, Privacy Policy, and any other policies or rules that we may publish from time to time.

1. Use of FloraFish

FloraFish provides tools that allow users to create and share offers and facilitate transactions between sellers and buyers.

You may use FloraFish only for lawful purposes and in accordance with these Terms.

You are responsible for everything you do through your account, including the offers you create, the information you provide, and your interactions with other users.

You may not use FloraFish in a way that could damage, disable, overburden, or impair the platform or interfere with another person's use of the service.

2. Eligibility

You must be legally capable of entering into binding agreements in your jurisdiction to use FloraFish.

If you use FloraFish on behalf of a business, organization, or other legal entity, you represent that you have the authority to bind that entity to these Terms.

FloraFish may restrict access to the platform where we reasonably believe that a user does not meet these requirements.

3. Your Account

Some FloraFish features may require you to create an account.

You agree to:

• Provide accurate and complete information.

• Keep your account information up to date.

• Keep your login credentials secure.

• Not share your account with unauthorized persons.

• Notify us if you believe your account has been compromised.

• Use your account only for legitimate purposes.

You are responsible for activity conducted through your account unless you can demonstrate that the activity occurred without your authorization and was not caused by your failure to protect your credentials.

You may not create an account using another person's identity or information without authorization.

4. Creating and Publishing Offers

FloraFish allows sellers to create offers for products, services, and experiences.

When creating an offer, you are responsible for ensuring that:

• The offer accurately describes what is being sold.

• The price is accurate.

• Availability information is accurate.

• Any material conditions or restrictions are clearly disclosed.

• You have the legal right to sell or provide what you are offering.

• You can reasonably fulfill the offer after a purchase is made.

• The content does not violate these Terms or applicable law.

FloraFish does not guarantee the accuracy, legality, quality, safety, or availability of offers created by users.

A seller is solely responsible for fulfilling the obligations associated with an offer they publish.

5. Prohibited Activities

You may not use FloraFish to:

5.1 Illegal Activities

• Sell, distribute, promote, or facilitate illegal goods or services.

• Facilitate fraud, theft, money laundering, or other unlawful activity.

• Circumvent applicable laws, regulations, licenses, or permits.

• Use FloraFish for any activity that is unlawful in the jurisdiction where the activity occurs.

5.2 Fraud and Deception

You may not:

• Create false or misleading offers.

• Misrepresent the identity of a seller, buyer, business, or organization.

• Impersonate another person or entity.

• Use false information to obtain payments or benefits.

• Manipulate transactions, orders, refunds, or payment records.

• Attempt to obtain goods, services, or money through deception.

• Create transactions that are fictitious or have no legitimate commercial purpose.

5.3 Abuse of the Platform

You may not:

• Attempt to gain unauthorized access to another user's account.

• Attempt to access systems, databases, APIs, or information that you are not authorized to access.

• Bypass or circumvent security mechanisms.

• Interfere with the operation or availability of FloraFish.

• Introduce malware, viruses, malicious code, or other harmful technology.

• Conduct denial-of-service attacks or similar activities.

• Probe, scan, or test the vulnerability of FloraFish systems without authorization.

• Reverse engineer or attempt to extract source code from portions of FloraFish where prohibited by law.

• Use automated systems, bots, scrapers, or scripts in a manner that places unreasonable load on the platform or violates our technical restrictions.

5.4 Spam and Abuse

You may not use FloraFish to distribute:

• Unsolicited bulk messages.

• Spam.

• Phishing attempts.

• Malicious links.

• Deceptive promotional content.

• Content intended to manipulate or exploit other users.

You may not use contact information obtained through FloraFish to send unsolicited communications in violation of applicable law.

6. Prohibited Offers

FloraFish may prohibit certain categories of products, services, experiences, or transactions.

You may not create or promote offers involving goods or services that are illegal, highly regulated, fraudulent, unsafe, or otherwise prohibited by FloraFish.

Examples may include:

• Illegal drugs or controlled substances.

• Weapons or unlawful weapon-related goods.

• Stolen goods.

• Counterfeit goods.

• Fraudulent documents or identities.

• Financial scams or fraudulent investment opportunities.

• Goods or services intended to facilitate illegal activity.

• Malware or malicious software.

• Content or services that unlawfully exploit or harm others.

• Any other category that FloraFish determines presents unacceptable legal, safety, fraud, or platform risks.

FloraFish may remove or restrict an offer when we reasonably believe it violates these Terms, applicable law, or our risk and safety requirements.

7. Intellectual Property

You must have the necessary rights, licenses, permissions, or authorizations to use any content you upload to FloraFish.

This includes:

• Images.

• Logos.

• Product descriptions.

• Videos.

• Designs.

• Brand names.

• Music.

• Documents.

• Other intellectual property.

You may not upload content that infringes another person's intellectual property, privacy, publicity, or other legal rights.

By submitting content to FloraFish, you grant FloraFish the permissions reasonably necessary to host, store, display, reproduce, and technically process that content for the purpose of operating and providing the platform.

You retain ownership of your content unless otherwise agreed.

8. Third-Party Services

FloraFish may rely on third-party services to provide certain functionality, including payment processing, email delivery, authentication, hosting, analytics, or other infrastructure.

Your use of those services may also be subject to their own terms and policies.

FloraFish is not responsible for the independent actions, availability, or policies of third-party services.

Where a transaction or service is provided by a third party, that third party may have additional requirements that apply to you.

9. Payments and Transactions

FloraFish may facilitate transactions between users through third-party payment providers.

You may not:

• Use stolen or unauthorized payment information.

• Attempt to manipulate payment systems.

• Initiate fraudulent transactions.

• Create transactions solely to abuse payment, refund, or promotional systems.

• Attempt to avoid legitimate platform fees through manipulation or circumvention.

• Misrepresent the nature or value of a transaction.

FloraFish may delay, restrict, cancel, or review transactions when reasonably necessary to prevent fraud, comply with law, protect users, or protect the platform.

Payment-specific terms are also governed by the Terms & Conditions applicable to FloraFish.

10. Buyer and Seller Responsibilities

FloraFish is a platform that facilitates interactions between users.

Sellers are responsible for:

• The accuracy of their offers.

• The legality of their products and services.

• Fulfilling purchased offers.

• Providing accurate information to buyers.

• Meeting applicable tax, licensing, regulatory, and consumer obligations.

Buyers are responsible for:

• Providing accurate information required to complete a purchase.

• Using purchased products and services lawfully.

• Following reasonable instructions provided by sellers.

• Not abusing refunds, cancellations, or payment mechanisms.

FloraFish does not become the seller, manufacturer, provider, owner, or guarantor of products, services, or experiences offered by users unless expressly stated otherwise.

11. Reviews, Feedback, and User Content

If FloraFish provides features that allow users to submit reviews, ratings, comments, or other feedback, you agree not to submit content that is:

• False or intentionally misleading.

• Fraudulent or manipulated.

• Defamatory or unlawfully harmful.

• Threatening or abusive.

• Infringing of another person's rights.

• Unrelated to the transaction or experience being reviewed.

You may not create fake reviews, pay others to create deceptive reviews, or manipulate ratings.

FloraFish may remove content that violates these Terms or applicable law.

12. Respectful Use

You may not use FloraFish to harass, threaten, intimidate, exploit, or abuse other users.

You must not use the platform to facilitate discrimination, violence, exploitation, or other unlawful harm.

FloraFish may take action against accounts involved in behavior that presents a meaningful risk to users or the platform.

13. Security

You must not attempt to compromise the security of FloraFish or its infrastructure.

This includes attempting to:

• Access restricted areas.

• Obtain another user's credentials.

• Circumvent authentication.

• Exploit vulnerabilities without authorization.

• Access private data.

• Modify or delete data belonging to another user.

• Interfere with security controls.

If you discover a security vulnerability, please report it to FloraFish rather than exploiting it.

14. Enforcement

FloraFish may investigate suspected violations of these Terms.

Depending on the circumstances, we may:

• Remove or restrict an offer.

• Limit account functionality.

• Delay or restrict transactions.

• Require additional verification.

• Suspend an account.

• Terminate an account.

• Restrict access to FloraFish.

• Preserve relevant information where legally permitted or required.

• Report activity to appropriate authorities when required or reasonably necessary.

We may take action when we reasonably believe it is necessary to protect users, FloraFish, third parties, or comply with applicable law.

15. No Circumvention

You may not attempt to circumvent restrictions, suspensions, fees, security measures, or other controls implemented by FloraFish.

If your account has been suspended or terminated, you may not create another account or otherwise access FloraFish to avoid that restriction unless FloraFish expressly authorizes you to do so.

16. Reporting Violations

If you believe that an offer, account, transaction, or other activity on FloraFish violates these Terms or applicable law, you may report it to us.

Reports should include enough information for us to understand and investigate the issue.

FloraFish may investigate reports at its discretion and may take action when appropriate.

17. Availability and Changes to the Platform

FloraFish may modify, suspend, or discontinue parts of the platform at any time.

We do not guarantee that FloraFish will always be available, uninterrupted, secure, or error-free.

Features may change as FloraFish develops.

We may also introduce new functionality, remove existing functionality, or modify technical requirements.

18. Privacy

Your use of FloraFish is also governed by our Privacy Policy, which explains how we collect, use, store, and process personal information.

You agree not to use information obtained through FloraFish in a manner that violates applicable privacy or data protection laws.

19. Consequences of Violations

Violating these Terms may result in the removal of content, restriction of account functionality, suspension, termination, or other appropriate action.

Where applicable, violations may also result in legal or financial consequences under applicable law.

Nothing in these Terms limits FloraFish's right to pursue remedies that may be available under applicable law.

20. Changes to These Terms

We may update these Terms from time to time.

When we make material changes, we may provide notice through FloraFish or other reasonable means.

Your continued use of FloraFish after updated Terms become effective constitutes acceptance of the revised Terms, to the extent permitted by applicable law.

21. Relationship With Other Terms

These Terms of Use govern acceptable and prohibited use of FloraFish.

They should be read together with our Terms & Conditions, Privacy Policy, and any other applicable policies.

If there is a conflict between these Terms and another FloraFish policy, the applicable policy will control to the extent necessary to resolve that conflict.

22. Governing Law

These Terms are governed by the laws applicable to FloraFish and its operator, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Any dispute arising from these Terms will be subject to the jurisdiction specified in the applicable FloraFish Terms & Conditions.
